Duration:Permanent, full time


The Position:


The FAI is recruiting a dedicated company secretary to assist the Board, its committees, and the Senior Leadership Team in fulfilling their duties. The Company Secretary will be responsible for all company secretarial matters for the Association and will work closely with the Board of the Association.


Job requirements



Key Responsibilities:



Key member of the CEO/COO team and contribute to operational matters and strategic direction of the FAI
Ensuring all company secretarial requirements are met in a professional, proactive and timely manner
Accountable for ensuring compliance with all company secretarial statutory requirements
Supporting wider implementation of compliance measures across the organisation
Stakeholder management – Board, Committee members, General Assembly, Staff
Secretary to the Board and several FAI Committees including minute taking, action tracking, issuing of notices of meetings, circulation of agendas and papers.
Responsible for the overall monitoring of all FAI Board Committees ensuring that good governance is being adhered to and that all reports/papers from committees are furnished to Board in a timely manner
Managing and planning offsite Board events
Managing and planning General Assembly meetings including: organising regular meetings including EGMs and AGM, sending notifications, agenda setting, presentations, attendance, minute taking, follow up; director elections - supporting chambers in nominating new members and running elections at the AGM
Ensuring that the Board are aware of, and compliant with, applicable company law, corporate governance, and other statutory and regulatory obligations
Identifying and communicating legislative changes that may impact the FAI
Working with external stakeholders including Sport Ireland and UEFA/FIFA
Assisting COO and Legal department on all governance related matters
Supporting the drafting of governance documentation including updating the constitution and regulations and drafting Committee Terms of Reference





THE PERSON:


The successful candidate will have the following:





Qualifications


The candidate should be ICSA qualified (ACIS or FCIS).


5 years plus experience working in Legal Services or Corporate Administration Services



Key Skills and Experience Required



Managing the timely organisation and preparation of board meetings: including drafting minutes and distributing packs to Board Members






Co-ordinating the Board, Senior Management, and FAI committees in functioning effectively
Preparing agendas, attending, and taking minutes for FAI management, committee, and Board meetings
Accurately recording decisions and actions, and following up on minutes for approval following all meetings
Ability to interpret and monitor evolving regulatory and legislative requirements.
Excellent organisation, time management and Communication skills
Attention to detail is essential
Proven I.T. Skills
Excellent Power Point Skills
Proven skills in managing multiple stakeholders
Knowledge of governance best practice and trends in the industry, including the Sport Ireland Governance Code for Sport
